SCOUTING CAPITAL ADVISORS ASSISTS MY FIRE IN THE BIRTH OF GREEN ALLIANCE, AN INITIATIVE PROMOTED BY HARCOS CAPITAL PARTNERS

  • Milan, 20 December 2024 – Harcos Capital Partners, an independent investment holding company, has announced the creation of Green Alliance, a new entity that aims to play a leading role in the development of the renewable energy sector, in particular fuel biomass.
  • Green Alliance is the result of the aggregation of three of Italy’s leading companies in the woody biomass distribution sector: the Woodtech group, the Ricci Pietro company and the My Fire company. The transaction is the starting point of an ambitious project aimed at transforming Green Alliance into a European leader in its reference market, also through the aggregation of other complementary companies.
  • The operation is part of a context of rapid evolution in the biomass sector, with the aim of strengthening Italy’s role as a European player in the distribution of renewable energy derived from wood sources. Green Alliance aims to integrate skills, resources and distribution networks, improving the stability and reliability of supplies, with concrete benefits for the entire market and for end consumers.
  • Thanks to rationalised logistics and economies of scale, the group will be able to optimise operating costs, ensuring more competitive prices and greater product availability, in line with the principles of environmental and economic sustainability.
  • The entrepreneurs already at the helm of the three companies involved in the operation – Daniele Rigamonti (Woodtech Group), Francesco Fabbri (Ricci Pietro) and Pietro Di Sarno (My Fire) – will assume the role of operating partners of Green Alliance while also remaining at the helm of their companies, maintaining significant managerial autonomy, guaranteeing continuity and enhancing the accumulated experience.
  • In the transaction, My Fire was assisted by Scouting Capital Advisors, with a team composed of Managing Partner Davide Milano, Associate Director Marco Croci and Analyst Davide Vallosio, as well as the Intergroup shareholder team composed of CFO Enzo Russo and Administration Manager Francesco Antinozzi. For the legal aspects, Legance – Avvocati Associati acted with a team composed of Marco Gubitosi, Matilde Finucci and Luigi Gaudiosi.
  • Harcos Capital Partners was assisted for the legal aspects of the transaction by Giovannelli e Associati with a team coordinated by Partner Matteo Colombari and composed of Senior Associate Giulia Contestabile and Associates Filippo Camerada and Edoardo Pietricola, and by an integrated and multidisciplinary EY team coordinated by Umberto Nobile and Camilla Mancusi, EY Partners of the Transaction Diligence division, for the financial aspects. Lawyers Oriana Granato and Maria Teresa Iannella, EY Partners of the Tax Law Firm, assisted Harcos Capital Partners for the legal and labour aspects. Rossella Patella, Partner EY of Studio Legale Tributario, advised on the tax aspects. For business aspects HCP was supported by OC&C.
  • Woodtech Italia was assisted by Equita Mid-Cap Advisory, the Italian partner of Clairfield International, with a team comprising Filippo Guicciardi, Andrea Dubini and Riccardo Zanasi, and by Simmons & Simmons with a team comprising Andrea Accornero, Paolo Guarneri and Ida Montanaro.
